The board composition brief in 2026 — four skills currently under-supplied

Board composition in 2026 is being reshaped by three converging pressures: the widening ESG competence requirement, the increased scrutiny of Non-Executive Director independence, and the still-accelerating expectation that boards look more like the markets they serve. Chairs and Nomination Committees are quietly rewriting their board matrices to reflect this — and, in doing so, are running into a set of practical constraints that will shape UK NED search for the next 24 months.

The four skills currently under-supplied

  • Substantive ESG and sustainability competence. Not general awareness — actual experience of governance decisions under the CSRD and TCFD frameworks, at NED or committee-chair level. The supply of candidates with genuine track record here remains thin.
  • AI governance experience. Boards are being asked to sign off on AI investment, AI risk and — increasingly — AI regulatory posture. Directors with hands-on AI leadership experience from either a technology or governance angle are scarce, and current NED matrices rarely surface them.
  • Cyber and information-security board competence. The regulatory environment now expects at least one director capable of interrogating the CISO’s posture. This is not the same as a technology background.
  • Sector-specific regulatory fluency. Especially in financial services and regulated industries, the shrinking pool of former senior regulators moving into NED portfolios is creating real gaps.

Where independence is being redefined

The Corporate Governance Code’s independence tests have not changed, but the market’s interpretation has tightened. A director’s independence is now assessed in the context of committee memberships, portfolio concentrations and public-market activity in a way that regularly disqualifies candidates who would have passed muster three years ago. Chairs are asking us to run compressed independence pre-checks earlier in the process — often before the first meeting.

The diversity commitment is now table stakes

Every board search we run in 2026 assumes a shortlist that reflects the FTSE Women Leaders Review targets and the Parker Review ethnic-diversity commitments. That is now the baseline expectation, not a differentiator. What differentiates the strongest boards is depth of substantive experience among the diverse candidates on the list — which requires longer, wider searches with real network reach, not tick-box shortlisting.

What this means for a Chair reading this

If you are refreshing your board matrix or planning a NED search for early 2026, three practical implications: start earlier, budget for retained search rather than open advertising, and be prepared to widen the geographic scope beyond the traditional UK plc pool. The candidates you need exist. They are not on the open market, and they will not be there in six months.
