What every UK board matrix should include in 2026

The board matrix — the skills-and-experience audit every Nomination Committee runs before a NED search — has changed materially in the last twenty-four months. Below is what we now see the strongest UK boards adding to their matrix as they prepare for 2026 refresh cycles.

The four skills the market wants added

  • Substantive AI governance — not general awareness, but actual experience of committee-level decisions on AI investment, AI risk, and (increasingly) AI regulatory posture under the EU AI Act and UK equivalents. The pool of directors with genuine track record here remains small.
  • Cyber and information-security board competence — enough to interrogate the CISO’s posture, not to replace it. The regulatory environment now expects at least one director capable of holding cyber-risk conversations at board level. This is a shortage market.
  • ESG and sustainability that goes beyond reporting — post-CSRD, boards need directors who understand what the data means, not just that it exists. Directors with prior sustainability leadership at operating level are increasingly sought.
  • Sector-specific regulatory fluency — for regulated firms, a director who has been on the receiving end of a regulatory intervention (or been the regulator delivering one) is disproportionately valuable. Former senior regulators moving into NED portfolios remain a scarce pool.

The three skills the market is quietly de-emphasising

The market is not saying this in board reports, but the underlying pattern is clear:

  • Pure listed-company CFO experience alone — no longer sufficient for the Audit Committee Chair seat unless paired with sector or regulatory depth. Big Four audit partnerships are asked to complement it, not replace it.
  • Marketing / brand experience without a digital-native lens — traditional CMO backgrounds without demonstrated commercial understanding of the digital business are being passed over in favour of more integrated commercial directors.
  • General “diversity of thought” as the sole rationale — Nomination Committees are more explicit about what they need the diverse candidate to bring on top of representation. This is a positive shift.

What this means for a Chair or Nomination Committee reading this

Two practical implications. First, run the matrix exercise now if you have not done it in the last twelve months — the market has moved. Second, budget for retained search on the next NED refresh; the candidate pool for the four under-supplied skills above is not on the open market, and open advertising will not surface them.
